SoldiVero LLC ("Company," "we," "us," or "our") operates SoldiVero, a family financial platform accessible via mobile application and website (collectively, the "Service"). The Service enables:

Children may not create accounts directly. All Child access to the Service is established and controlled by a Parent account. We reserve the right to terminate accounts that we determine are not in compliance with these eligibility requirements.
To use the Service, you must register as a Parent by providing accurate, complete, and current information, including your name, email address, date of birth, phone number, and payment method. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
After creating your Parent account and completing identity verification, you may create profiles for your children. Each Child profile is linked to your Parent account and is subject to your control. You represent that you are the parent or legal guardian of each child for whom you create a profile.

To comply with applicable financial regulations, we may require you to verify your identity by providing government-issued identification and other information. We may use third-party identity verification services for this purpose. We may suspend or terminate your account if you fail to complete verification or if we cannot verify your identity.
By providing your phone number and registering for the Service, you consent to receive SMS text messages from SoldiVero LLC at the phone number provided. These messages may include:

TCPA Consent. By checking the consent box during registration, you expressly consent to receive automated SMS text messages from SoldiVero LLC at the mobile number provided. This consent is not a condition of purchasing any goods or services.
Opt-Out. You may opt out of non-essential SMS messages at any time by replying STOP to any text message from us. You will receive a single confirmation message. Note that opting out of all messages may affect your ability to receive security codes required to access your account.

Carrier Disclaimer. SoldiVero LLC is not responsible for any charges imposed by your mobile carrier for SMS messages. Supported carriers include AT&T, Verizon, T-Mobile, Sprint, Boost Mobile, Cricket, MetroPCS, and others.
The Card is a prepaid virtual card issued through our banking-as-a-service partner ("Card Issuer") and operates on the Visa or Mastercard network (as applicable). The Card is issued in the name of the Parent and is provided to the child for use under parental supervision. The Card is not a credit card, debit card, or gift card. It is a prepaid card that can only be used up to the available balance.
Parents fund the Card by loading allowance earnings onto it through the Service. The Card balance reflects the funds loaded by the Parent. We do not guarantee that any particular merchant will accept the Card. Prepaid card usage may be subject to restrictions at certain merchant categories.
Your use of the Card is subject to these Terms and to the separate Cardholder Agreement provided by the Card Issuer at the time of card activation. In the event of any conflict between these Terms and the Cardholder Agreement regarding card-specific matters, the Cardholder Agreement controls.
Current fees associated with the Service and the Card are disclosed in our Fee Schedule, available at soldivero.com/fees. We reserve the right to modify our fees upon thirty (30) days' advance notice to you by email. Your continued use of the Service after the fee change takes effect constitutes your acceptance of the new fees.

Parents may set additional spending controls and category restrictions through the Service.
If you believe a Card transaction is unauthorized or erroneous, you must notify us within sixty (60) days of the transaction date by contacting support@soldivero.com. Dispute resolution procedures are governed by the Cardholder Agreement and applicable law, including the Electronic Fund Transfer Act (EFTA) where applicable.
Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and included features are described on our website. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel.
We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. We will notify you before the trial period expires.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except where required by applicable law. Upon cancellation, your account and Child profiles will be deactivated, and remaining Card balances will be returned to your funding source per the Cardholder Agreement.
If a payment fails, we will notify you and may suspend access to certain features until payment is resolved. We reserve the right to terminate your account after repeated failed payment attempts.
As a Parent using the Service, you agree to:
You are solely responsible for all activity conducted by your child through the Service and for any Card transactions made by your child.
You may use the Service only for lawful, personal, non-commercial family financial management purposes in accordance with these Terms.

We reserve the right to immediately suspend or terminate your account and any associated Child profiles for any violation of this Section, without notice and without liability to you. We may also report suspected illegal activity to appropriate law enforcement authorities.
The Service, including its software, design, text, graphics, logos, and all other content (collectively, "Company Content"), is owned by or licensed to SoldiVero LLC and is protected by U.S. and international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose in accordance with these Terms.
You may not copy, modify, distribute, sell, sublicense, or create derivative works of any Company Content without our prior written consent.
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback without any obligation to you.
The Service integrates with third-party services, including card network operators, banking partners, identity verification providers, and payment processors. These third parties have their own terms and privacy policies, which govern their relationship with you. We are not responsible for the practices of any third-party service providers. Your use of third-party services through the Service is at your own risk.
The Service may contain links to third-party websites. We do not endorse and are not responsible for the content or practices of any linked websites.
We do not provide financial advice. The Service is a tool for family allowance management and does not constitute investment, tax, or legal advice. You are responsible for your own financial decisions.
You agree to indemnify, defend, and hold harmless SoldiVero LLC and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any activity by your child conducted through the Service.
Before initiating any formal dispute, you agree to contact us at legal@soldivero.com and attempt to resolve the dispute informally for at least thirty (30) days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as provided in Section 12.4. The arbitration shall be conducted in English, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
Either party may bring an individual action in small claims court. Either party may seek emergency injunctive or other equitable relief in court to prevent irreparable harm pending arbitration.
These Terms and all disputes arising hereunder shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions, except that the Federal Arbitration Act governs all arbitration-related matters.
You may close your account at any time by contacting us at support@soldivero.com. Upon account closure, all Child profiles will be deactivated, any remaining Card balance will be returned to your funding source per the Cardholder Agreement, and your data will be retained and deleted as described in our Privacy Policy.
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if: (a) you violate these Terms; (b) we are required to do so by law or our banking partners; (c) we determine that you pose a fraud or legal risk; or (d) we discontinue the Service.
Upon termination, all licenses granted to you under these Terms immediately terminate. Sections 7, 9, 10, 11, 12, and 14 of these Terms survive termination.
These Terms, together with our Privacy Policy and any Cardholder Agreement, constitute the entire agreement between you and SoldiVero LLC regarding the Service and supersede all prior agreements.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets, without your consent.
We will not be liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, cyberattacks, government actions, or failures of third-party infrastructure.
